About the Platform and These Terms

TOA Digital is a Saudi digital platform offering digital products and services through the website toa.sa.

These Terms govern use of the website, account registration, submission of requests, and purchase of the products and services offered on it. "The Platform", "we" and "us" refer to TOA Digital, and "the Customer" or "you" refers to anyone who uses the website or submits a request through it.

Acceptance of the Terms

By using the website you agree to be bound by these Terms and by the Privacy Policy published on the website.

The Terms are accepted expressly when each commercial request is submitted, and the version number you accepted and the time of acceptance are recorded. Each request is governed by the version accepted when it was submitted.

Your Account

  • An account with a verified email address is required to submit requests.
  • You must provide accurate information and keep it up to date.
  • You are responsible for keeping your password confidential and for all activity through your account, and you must notify us immediately if you suspect unauthorised use.
  • We may suspend or close an account in case of misuse or breach of these Terms.
  • You may request closure of your account from your profile. Closure is not carried out while you have an open request or an order in progress.

Products, Services and Prices

Each product or service has a page describing it and its offers, and each offer states how it is priced, using one of the following:

  • A fixed price.
  • A price starting from a stated amount.
  • A price based on scope.
  • A price set after the request is reviewed.

Prices are in Saudi riyals. For anything other than a fixed price, the final price is set before the request is accepted and is shown on the request page. You are bound only by the final price shown in the accepted request.

The Platform is not currently registered for value added tax, so no tax is added to prices. If it registers later, tax will be applied as required by law and shown in the request before acceptance.

How Ordering Works and When the Contract Is Formed

A request goes through the following steps:

  • You choose the suitable offer and add it to your request.
  • You submit the request after accepting these Terms, and may optionally enter the name to appear on the invoice, your tax number and your national address.
  • We review the request and may contact you to clarify your needs, then either accept it on its final terms or decline it with a reason.
  • On acceptance the request becomes a confirmed order, and this forms the contract between you and the Platform.
  • An invoice is issued, you pay it by bank transfer, and we then fulfil the order.

You receive an email at each important step, and you can follow your requests and invoices from your account.

If we create a request for you from a service request you submitted, it is not accepted until you accept these Terms from the request page.

Payment

  • Payment is by bank transfer only, to the bank account shown on the invoice.
  • After transferring, you report it from the invoice page with the amount, the date and the transaction reference.
  • We verify that the amount has reached the account, then confirm the payment or decline the report with a reason.
  • If you transfer more than the amount due, we return the difference to you by bank transfer.
  • We will never ask you for your card details or your online banking password.

Fulfilment and Delivery

The order is fulfilled according to the nature of the product or service and the final terms of the accepted request. Delivery may consist of making the product available, delivering the agreed work, or a link provided through your account.

The expected fulfilment date is stated in the accepted request, and we notify you in advance if we expect a delay. We notify you by email when fulfilment is complete, and this is shown on the order page.

Where fulfilment needs information or access from you, a delay in providing it may delay fulfilment.

Cancellation and Refunds

  • Before the request is accepted: you may cancel it yourself from the request page without any obligation.
  • Within 7 days: you may rescind the contract within 7 days of its conclusion or of receiving the product, provided you have not used the product, the service has not started, and you have not benefited from either, in accordance with the E-Commerce Law. You request this through support in your account.
  • The 7-day right does not apply to products or services made specifically for you, software that has been used, or software downloaded online, unless they are defective or do not conform to what was agreed.
  • Late delivery: if fulfilment is more than 15 days late against the agreed date, or against the contract date where no date was set, you may rescind the contract and receive a full refund, unless the delay is caused by force majeure.
  • After fulfilment has started and outside the cases above: you request cancellation through support, and we refund what you paid for the part not yet fulfilled.
  • Defects or non-conformity: if there is a defect or a difference from what was agreed, contact us through support and we will address it by correction, replacement or refund.
  • Cancellation is not carried out while a payment is pending verification, until a decision is made on it.

Any amount due is refunded by bank transfer within 14 days of accepting the cancellation or refund request, and a credit note is issued for it. Nothing above limits any right granted to you by the laws in force in the Kingdom of Saudi Arabia.

Intellectual Property

The website content and the TOA Digital name, logo, designs and products are owned by the Platform and may not be copied or used without written permission.

When a product is purchased, the Customer receives the right to use it as described in the offer or the accepted request; ownership does not pass to the Customer unless expressly agreed. For services performed specifically for a Customer, ownership of the result is set out in the final terms of the request.

Acceptable Use

When using the website you agree:

  • Not to use it for any purpose contrary to law or public morals.
  • Not to attempt unauthorised access to the website, other users' accounts or its systems, or to disrupt or overload it.
  • Not to send harmful or misleading content or content that infringes the rights of others.
  • Not to impersonate anyone or provide false information.

Limitation of Liability

We take reasonable care to keep the website available and to provide products and services to the agreed quality, but the website may be temporarily unavailable for maintenance or for reasons beyond our control.

To the extent permitted by law, our liability for any request does not exceed the amount you actually paid for that request, and we are not liable for indirect losses such as loss of profit or loss of data arising from your use.

Privacy

We Process your Personal Data in accordance with the Privacy Policy published on the website, which forms part of these Terms.

Changes to These Terms

We may amend these Terms. The new version is published on this page with its version number and effective date, and earlier versions remain available for reference.

An amendment does not apply to requests submitted before it; each request is governed by the version you accepted when you submitted it.

Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. We aim to resolve any dispute amicably by contacting us first; failing that, the competent judicial authorities in the Kingdom of Saudi Arabia have jurisdiction.

If the Arabic and English texts conflict, the Arabic text prevails.

Contact

For any question or complaint about these Terms or your requests: info@toa.sa, or through support in your account. If your complaint is not resolved, you may raise it with the Ministry of Commerce through the Balagh Tejari app or by calling 1900.
